All entrants must accept the following competition rules:
1. The competition is run by Universal Island Records Limited, a division of Universal Music Operations Limited (“Universal”).
2. In order to enter the competition, entrants must create their own original design (“Artwork”) of the ‘bust’ of Robbie Williams (“Artist”) featured on the album artwork of the Artist’s album entitled ‘Take The Crown’ (“Album Artwork”) and submit the Artwork together with their full name and contact telephone number by email to rwcompetitions@gmail.com.
3. All rights in the Album Artwork and any parts or derivatives therefrom (“Materials”) are and shall remain the absolute property of the Artist. Entrants are not permitted to exploit or distribute the Materials by any means and in any manner (save as expressly permitted to enable entry to this Competition) without the prior written consent of the Artist. Entrants represent and warrant that they will not share or disseminate their Artwork, the Album Artwork or the Materials without the Artist’s consent.
4. One winning entry (“Winning Artwork”) shall be selected by Universal and Artist and shall be converted into a digital 3D augmented reality version of the Album Artwork by Aurasma (“Augmented Artwork”). The Winning Artwork shall be accessible to the public via the Robbie Williams phone application (“App”) for one (1) week (to be selected at the sole discretion of Universal and the Artist). For the avoidance of doubt, the Winning Artwork shall not be made available in any physical format and shall only be accessible if a consumer uses the App in conjunction with the Album Artwork.
5. The Winning Artwork shall be decided at the sole discretion of Universal and the Artist. Universal and Artist’s decision is final and binding on all entrants; no correspondence will be entered into. Universal and Artist reserve the right to not select a winner or runners up if none of the entries are deemed to be of a high enough quality.
6. No Artwork should contain images, words or symbols that could be offensive to the reasonable person on grounds that it discriminates against or is discriminatory or offensive to any person or group (whether on grounds of sex, race, religion or other). Universal reserves the right to reject any entry on these grounds.
7. By entering the Competition entrants agree:
a. to grant Universal a non-exclusive, fully paid and royalty-free, sub-licensable and worldwide licence of the Artwork to use, edit, modify, display, publish, perform, reproduce, communicate, and distribute the Artwork; b. not to assert and/or to waive any moral rights in the Artwork against the Universal, the Artist or its licensees, subsidiaries and assigns
c. to fully cooperate with Universal in the 3D conversion of the Winning Artwork including but not limited to providing the Winning Artwork in different file formats and to alter and modify the Winning Artwork to enable the conversion to 3D
d. to grant Universal the free use of their names, photographs and general locations for publicity and news purposes during this and future promotions in any and all media
If a person does not wish to grant Universal such rights in the Artwork then they must refrain from entering the competition.
8. By submitting Artwork to the Competition entrants represent and warrant that their Artwork is their own original work and that it does not violate any third party rights or infringe upon or violate any law, agreement or other rights of any kind, of any third party, without limitation, rights affecting copyright, contract, defamation, privacy or publicity and that the Artwork shall not contain any copyright material owned by a third party save for the Album Artwork. Entrants agree to indemnify Universal in respect of any claims, damages and costs arising as a result of the entrant’s breach of this warranty.
9. The competition is open to UK citizens only (SAVE THAT persons under 18 years of age must be able to provide the consent of a parent or guardian if requested as detailed below), except employees of Universal Music Operations Limited, Aurasma and their associated, affiliated or subsidiary companies, and their families, agents, or anyone connected with this Competition. Universal may require entrants to provide proof of their age and/or parental/guardian consent and any such entry shall be withdrawn from the competition until such time as the entrant can provide the required information.
10. Universal will not be liable for any failure of receipt of entries. Universal takes no responsibility for any entries that are lost, delayed, illegible, corrupted, damaged, incomplete or otherwise invalid. Universal will not be liable for technical, hardware, or software failures of any kind or lost or unavailable network connections which may limit or prohibit an eligible entrant's ability to participate in the Competition.
11. By entering and submitting Artwork, all eligible entrants agree to abide by each and all of these General Rules, the Terms and Conditions and the Security and Privacy Policy {i[nsert link to privacy policy]} that govern the Artist’s website. Universal reserves the right, with or without cause, to exclude entrants and withhold prizes for violating any of these General Rules and the Terms and Conditions and Terms of Use. Universal reserves the right to amend these General Rules. Any amendments will be published on the Website.
12. No purchase is necessary but entrants should be aware that they may be subject to local call charges depending on their own individual arrangements for Internet access.
13. Closing date for entries is Midnight (GMT) on 6 January 2013. All entries will be judged by Universal and the Artist shortly after this date.
14. The winner and runners up will be notified by email within 30 days of the date the Winning Artwork is chosen. Reasonable endeavours will be made to contact the winner(s) during this time. If a winner cannot be contacted before this time on the mobile number or email address supplied by the entrant with their entry, Universal reserves the right to select the entrant whose entry the judging panel consider to be next best. In the event that winner is unable to for any reason (including without limitation due to lack of parental consent) or refuses to grant to Universal an assignment of all rights in the Winning Artwork pursuant to clause 7 hereof then Universal and the Artist shall be entitled to choose another entrant as the winner.
15. No cash or prize alternative will be offered and the prizes are not transferable and no part or parts of the prize may be substituted for other benefits, items or additions.
16. Uses of personal data received by Universal Music Operations Limited in the course of the competition are subject to the privacy policy found on the Artist’s website. The runners up and winner’s names may be published on that website.
17. Universal reserves the right at any time to cancel, modify or supersede the competition (including altering prizes) if, in our sole discretion, the Competition is not capable of being conducted as specified.
18. Nothing in these terms and conditions shall limit Universal’s liability for death or personal injury caused by their employees or agents’ negligence or for fraud.
19. If any of these clauses should be determined to be illegal, invalid or otherwise unenforceable then it shall be severed and deleted from these terms and conditions and the remaining clauses shall survive and remain in full force and effect.
20. These terms and conditions shall be governed by English law and the courts of England and Wales shall have exclusive jurisdiction.
